General Terms of Sale

Effective Date: January 15, 2025

Article 1 — Purpose

These General Terms of Sale ("GTS") govern the contractual relationship between VARDA ("the Provider") and any professional client ("the Client") subscribing to the services offered on the vardaprotect.com platform.

VARDA is an online reputation management SaaS platform specializing in Google Business Profile review analysis, detection of violations of Google policies and French law, and assistance with the removal of non-compliant reviews.

Article 2 — Pricing and Payment

2.1 Pricing

  • VARDA Action Audit: €99 excl. VAT, charged upon order. Includes the diagnostic, Revenue Leak report, and Legal Playbook.
  • Protection Subscription: €24.99 excl. VAT/month for ongoing monitoring and AI tools.

2.2 Payment

Payments are securely processed through Stripe (PCI-DSS Level 1 certified). The Client must provide a valid payment method (credit or debit card). Payment information is stored by Stripe, not VARDA. All prices are displayed and charged in EUR (€).

2.3 Invoicing

Audit fees are invoiced immediately upon purchase. Subscription fees are invoiced monthly on the anniversary date. An invoice is automatically generated and sent by email.

Article 3 — Duration and Termination

The Protection subscription is concluded for an indefinite period, with monthly billing. The Client may terminate at any time, with termination taking effect at the end of the current monthly period.

The VARDA Action Audit is a one-time service. Once the report is delivered, the service is considered performed.

The Provider reserves the right to suspend or terminate access to the service in the event of the Client's breach of these GTS, fraud, or misuse of the service.

Article 4 — Provider Obligations

The Provider undertakes to:

  • Provide continuous access to the VARDA platform (subject to scheduled maintenance)
  • Perform AI analyses with diligence and according to industry standards
  • Process the Client's data in compliance with GDPR and the privacy policy
  • Inform the Client of any scheduled service interruption within a reasonable timeframe

⚠️ The Provider does not guarantee the removal of reviews by Google. The removal decision is at Google's sole discretion.

Article 5 — Client Obligations

The Client undertakes to:

  • Provide accurate and up-to-date information during registration
  • Use the service only for removal requests of reviews that the Client genuinely believes violate Google's policies
  • Not use the service to remove legitimate negative reviews
  • Maintain a valid payment method associated with their account
  • Comply with Google Business Profile's terms of service

Article 6 — Intellectual Property

The VARDA platform, its source code, AI algorithms, visual identity, content, and databases are the exclusive property of the Provider and are protected by intellectual property law.

AI-generated analyses and legal arguments are made available to the Client for their intended purpose (review removal requests). The Client may not resell, redistribute, or use them for independent commercial purposes.

Article 7 — Personal Data

The processing of personal data is described in our Privacy Policy, available at vardaprotect.com/privacy.

By using VARDA, the Client consents to the processing of their data in accordance with the General Data Protection Regulation (GDPR) and the French Data Protection Act.

Article 8 — Liability and Warranties

The Provider is bound by an obligation of means. The Provider shall not be held liable for:

  • Google's decisions regarding the removal or retention of reviews
  • Inaccuracies in AI analyses (false positives or false negatives)
  • Indirect damages, loss of revenue, loss of clientele, or damage to reputation
  • Service interruptions caused by third parties (Google, Stripe, hosting providers)

The Provider's total liability is limited to the amounts actually paid by the Client during the 12 months preceding the triggering event.

Article 9 — Force Majeure

The Provider shall not be held liable for the non-performance of its obligations in the event of force majeure as defined by Article 1218 of the French Civil Code, including but not limited to: natural disasters, network outages, unilateral changes to Google APIs or policies, cyberattacks, or government decisions.

Article 10 — Governing Law and Jurisdiction

These GTS are governed by French law. Any dispute relating to their interpretation or performance shall fall under the exclusive jurisdiction of the Commercial Court of Paris.

Prior to any legal action, the parties undertake to seek an amicable resolution within 60 days of the dispute notification.
